Terms of Service

1. Acceptance of Terms

By engaging Take the Write Step to provide web design, development, or branding services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are engaging our services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. If you do not agree with any part of these Terms, you must not engage our services. We reserve the right to modify these Terms at any time, and your continued use of our services following any changes constitutes acceptance of the updated Terms.

2. Services Description

Take the Write Step provides professional web design and digital services including custom website design and development, website redesign and updates, e-commerce store setup and configuration, brand identity design (logos, colour palettes, typography), social media campaign design and management, and related creative and technical services. The specific scope of services for each project will be outlined in a project proposal or agreement provided before work begins.

3. Project Scope & Revisions

The scope of each project will be clearly defined in a written project proposal or statement of work agreed upon by both parties before development begins. Any work requested beyond the agreed scope will be treated as additional work and may incur additional charges, which will be communicated and approved before proceeding.

Each project includes a specified number of revision rounds as outlined in your project proposal. Revisions refer to adjustments to the approved design direction, not fundamental redesigns or changes to the agreed scope. Additional revision rounds beyond those included may be requested at an additional fee. Revision requests should be consolidated and submitted in writing to ensure clarity and efficiency.

4. Delivery Timelines

Project timelines will be established in the project proposal and are based on the agreed scope of work. Take the Write Step will make reasonable efforts to deliver projects within the estimated timeframe. However, timelines may be affected by factors including but not limited to: delays in receiving client content, feedback, or approvals; changes to project scope; third-party service provider delays; and unforeseen technical complexities.

Timely delivery of client materials (text content, images, brand assets, login credentials, and feedback) is essential to maintaining the project schedule. Delays in providing required materials may result in corresponding delays to the project timeline.

5. Payment Terms

Payment terms will be specified in your project proposal. Unless otherwise agreed, a deposit is required before work begins, with the remaining balance due upon project completion and before final files or website access are delivered. All prices are quoted in the currency specified in your proposal.

Late payments may result in suspension of work on the project until the outstanding balance is resolved. We reserve the right to withhold delivery of final project files, transfer of website ownership, or publication of completed work until all outstanding invoices have been paid in full. Recurring services such as website maintenance or hosting are billed on the schedule outlined in your service agreement.

6. Intellectual Property

Upon full payment of all project fees, the client receives full ownership of the completed website design, custom graphics, and all final deliverables created specifically for their project. This includes the HTML, CSS, and any custom code written exclusively for the client's website.

Take the Write Step retains the right to use general design techniques, programming methods, and non-client-specific code libraries developed during the project. We also reserve the right to display the completed project in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing. Third-party assets such as stock photography, fonts, and plugins remain subject to their respective licence terms.

7. Hosting & Maintenance

Unless a hosting and maintenance plan is included in your project agreement, the client is responsible for arranging and maintaining their own web hosting, domain registration, and SSL certificates. Take the Write Step can recommend hosting providers and assist with initial setup, but ongoing hosting management and renewals remain the client's responsibility.

If you subscribe to one of our maintenance plans, we will provide the services outlined in that plan, which may include software updates, security monitoring, content updates, and regular backups. Maintenance plans are billed on a recurring basis and may be cancelled with thirty (30) days' written notice.

8. Client Responsibilities

The client is responsible for providing all necessary content, images, brand assets, and information required for the project in a timely manner. The client must ensure that all content provided to us does not infringe on any third-party intellectual property rights, trademarks, or copyrights.

The client is responsible for reviewing all deliverables and providing feedback within the timeframes agreed upon in the project plan. Final approval of the completed project signifies that the client is satisfied with the work and accepts responsibility for the content published on their website. The client must maintain their own backups of website content and data where applicable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Take the Write Step shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill arising from the use of our services or any website we create.

Our total aggregate liability shall not exceed the amount you paid to Take the Write Step for the specific project giving rise to the claim. Take the Write Step is not responsible for any losses resulting from website downtime, hosting failures, third-party plugin or service issues, or security breaches occurring after the project has been delivered and accepted by the client. Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

10. Termination

Either party may terminate a project agreement by providing written notice. If the client terminates a project before completion, payment is due for all work completed up to the date of termination, including any expenses incurred. The deposit is non-refundable once work has commenced.

Take the Write Step reserves the right to terminate a project if the client fails to provide required materials or feedback for more than thirty (30) consecutive days, if payment is overdue by more than fourteen (14) days, or if the client engages in conduct that is abusive or materially breaches these Terms. Upon termination, we will deliver all completed work up to the termination date, subject to full payment of outstanding fees.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Jamaica. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Jamaica. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with any project proposal or statement of work, constitute the entire agreement between you and Take the Write Step regarding the services described herein.
